These Terms of Service ("Terms") govern your use of the BeejRewards website and vendor web portal (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

Accounts and Eligibility

You must be at least 18 years old and authorized to act on behalf of the business you represent. Vendors must hold a valid business license. After any free membership period, vendors will be required to provide an Employer Identification Number (EIN) for verification in order to continue using the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Subscriptions and Billing

Some features require a paid subscription. Fees, billing cycles, and plan details are presented at the time of purchase and may change upon renewal with prior notice. Subscriptions renew automatically unless canceled before the renewal date. Unless required by law, fees are non-refundable.

Vendor Content and Responsibilities

You control the content you submit (business details, offers, messages). You represent and warrant that your content is accurate, lawful, and compliant with all applicable advertising, marketing, and consumer-protection laws, as well as any platform, geographic, and age-related restrictions that apply in your jurisdiction.

You are solely responsible for the content of your promotions and communications, including frequency and timing. BeejRewards may enforce technical limits (e.g., message character limits, daily send caps, message expiration) to protect user experience and system integrity.

Loyalty Settings and Notifications

The portal enables you to configure digital stamp/reward parameters and to send in-app notifications to your customers. You agree not to use the Service to send unlawful, misleading, or abusive messages. Messages may automatically expire (for example, after approximately six (6) hours) and are subject to daily limits.

Acceptable Use

You will not: use the Service for any illegal purpose; attempt to interfere with security or integrity of the Service; reverse engineer or scrape the Service; misrepresent your identity; or infringe intellectual property or privacy rights. We may suspend or terminate accounts that violate these Terms or harm the Service or its users.

Intellectual Property

BeejRewards and its licensors retain all rights, title, and interest in the Service, including software, trademarks, and content we provide. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the website and portal for your business's internal purposes.

Vendor Content License

You grant BeejRewards a worldwide, non-exclusive, royalty-free license to host, display, and use your submitted content solely to operate and provide the Service. You retain ownership of your content.

Third-Party Services

The Service may integrate with third-party tools (for example, mapping or analytics). Your use of third-party services is governed by their terms and privacy policies. We are not responsible for third-party services.

Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in that policy.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation or specific business outcomes.

Limitation of Liability

To the maximum extent permitted by law, BeejRewards will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for direct damages will not exceed the amounts paid to us by you for the Service during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold BeejRewards, its affiliates, and personnel harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

Suspension and Termination

We may suspend or terminate access to the Service if we believe you have violated these Terms, created risk or possible legal exposure, or for non-payment. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Bexar County, Texas.

Changes to the Service or Terms

We may modify the Service and update these Terms from time to time. Material changes will be communicated by reasonable means. Continued use after changes become effective constitutes acceptance of the revised Terms.
